These Terms & Conditions (“Terms”) govern all services and products provided by ITBUILDZ (“we”, “us”, “our”) to any individual or organization (“you”, “client”, “customer”). By using our website, contacting us, or engaging our services, you agree to be bound by these Terms.

If you do not agree, please do not use our services.

SERVICES OFFERED

ITBUILDZ provides professional IT and digital services including, but not limited to:

• Website Design & Development
• Mobile App Development (Android / Web Apps)
• Custom Software Development
• SEO Optimization
• IT Consulting
• UI/UX Design
• DevOps & Cloud Services
• Domain & Hosting Support
• Digital Marketing & SEO
• Maintenance & Technical Support

The exact scope of services for each project will be defined in a written proposal, quotation, or agreement shared with the client.

PROJECT SCOPE & TIMELINE

• The project scope will be clearly defined in a proposal or agreement.
• Any work requested outside the approved scope will be treated as a change request and may incur additional cost and revised timelines.
• Project timelines are estimates and depend on timely feedback, content, approvals, and cooperation from the client.
• ITBUILDZ is not responsible for delays caused by the client, third parties, hosting providers, or force majeure events.

PAYMENT TERMS

All pricing is provided in USD and/or EUR unless otherwise agreed in writing.

• A non-refundable advance payment of 30% is required before project commencement.
• Remaining payments are due as per agreed milestones.
• Final payment must be completed before live deployment or handover of the final deliverables.
• Late payments may result in work suspension without prior notice.
• Any transaction fees or conversion charges are the responsibility of the client.

No refunds will be issued for completed milestones or work already delivered.

INTELLECTUAL PROPERTY RIGHTS

• Upon full and final payment, ownership of the final approved deliverables will be transferred to the client.
• ITBUILDZ retains the right to reuse generic concepts, techniques, libraries, frameworks, and non-confidential code components developed during the project.
• Source code, admin access, or server credentials will only be provided once full payment is received.

CLIENT RESPONSIBILITIES

The client agrees to:

• Provide complete and accurate requirements
• Deliver content, data, logos, credentials, and feedback in a timely manner
• Ensure all content provided is legally owned or licensed
• Review deliverables and provide approvals on time

Delays in these responsibilities may affect project timelines and cost.

REVISIONS & APPROVALS

• Each project includes up to 2–3 reasonable revisions per phase unless stated otherwise.
• Additional revisions beyond the agreed limit may incur extra charges.
• Once a design or feature is approved, further changes may require a new estimate.

CONFIDENTIALITY

Both parties agree to treat all sensitive, confidential, and proprietary information shared during the project as strictly confidential and not to disclose it to any third party without written consent, unless required by law.

SUPPORT & MAINTENANCE

• A 30-day limited bug-fix support period is provided after project completion.
• Ongoing maintenance, updates, backups, or technical support require a separate maintenance agreement (AMC or support plan).
• New features or enhancements are not included in free support.

THIRD-PARTY SERVICES

ITBUILDZ is not responsible for downtime, security breaches, loss of data, or failures caused by:

• Hosting providers
• Domain registrars
• Email services
• Third-party APIs or plugins
• Payment gateways
• Cloud platforms

The client agrees to adhere to the terms of any third-party services used.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, ITBUILDZ shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profit, revenue, or business data
• Downtime, security breaches, or cyber attacks
• Switching costs or data losses

Total liability shall not exceed the total amount paid by the client to ITBUILDZ for the specific project.

TERMINATION

Either party may terminate the project in case of breach of terms with written notice.

• If the client terminates after project start, paid amounts will not be refunded.
• If ITBUILDZ terminates due to non-payment or non-cooperation, all outstanding dues must be paid for completed work.

FORCE MAJEURE

ITBUILDZ is not responsible for failure to complete work due to events beyond reasonable control including natural disasters, war, government actions, internet failures, or pandemics.

GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in India.
